SEBI approves Jio Platforms IPO

The Securities and Exchange Board of India (SEBI) has cleared the proposed initial public offering (IPO) of Jio Platforms, marking a major step towards the stock-market listing of Reliance Industries’ digital and telecom business. The proposed issue is valued at around ₹37,700 crore and could become the largest IPO in India if launched at the proposed size.

The approval comes after Jio Platforms filed its Draft Red Herring Prospectus (DRHP) with the market regulator earlier in 2026. The proposed offering is structured as a fresh issue of 270 million equity shares.

Why Jio’s IPO is significant

Jio Platforms is the holding company for Reliance’s digital ecosystem, with its businesses spanning telecom and a growing range of digital services. The listing would give public-market investors a direct opportunity to participate in the company and could establish a separate market valuation for the Jio business.

The proposed issue size would also place Jio at the top end of India’s IPO market. If the final issue is launched at the indicated size, it would surpass the record set by Hyundai Motor India’s 2024 public offering.

Where will the IPO money be used?

A substantial portion of the proceeds is intended to support the financial position of Reliance Jio Infocomm, the telecom operating company. The proposed use of funds includes repayment or reduction of approximately ₹27,500 crore of debt.

Debt reduction through IPO proceeds can improve the balance sheet of the operating business and reduce financial leverage. However, the eventual impact will depend on the final issue structure, pricing and use of proceeds disclosed in the final offer documents.

Jio’s position in India’s telecom and digital market

Jio has grown from a telecom challenger into a broader digital services platform. According to recent company and market data, Jio had more than 533 million subscribers as of June 2026.

Beyond mobile connectivity, the broader Jio ecosystem has expanded into areas such as artificial intelligence, cloud services and enterprise networking, increasing the strategic importance of the proposed listing.

Reliance Industries will remain a major shareholder

Reliance Industries is the principal shareholder in Jio Platforms. Other major investors in the company include Meta and Google. The IPO would result in dilution to existing shareholders because new equity shares would be issued to public investors.

The exact ownership structure after the IPO will depend on the final number of shares issued and the terms of the public offering.

When will the Jio IPO open?

SEBI approval does not mean that the IPO opens immediately. The approval clears an important regulatory step, but the company still needs to complete the remaining processes before the public issue can be launched.

The final IPO schedule, price band, issue dates, lot size and other investor details will be announced through the applicable offer documents and formal company disclosures.

What investors should watch

Investors tracking the Jio IPO should focus on the final valuation, issue price, earnings profile, debt position, use of proceeds, shareholding structure and the company’s ability to sustain growth across telecom and digital businesses.

A large IPO size by itself does not determine whether an issue offers good value. Investors should compare the proposed valuation with Jio’s revenue, profitability, cash flows, capital requirements and comparable listed companies before making an investment decision.

India’s IPO market gets another major issue

The Jio approval comes during a period of strong activity in India’s primary market. The proposed transaction could become a landmark listing because of the company’s scale, brand recognition and position within Reliance Industries’ business portfolio.

For the Indian capital market, the proposed Jio listing could also broaden investor participation in one of the country’s largest digital and telecom businesses.

Key takeaway

SEBI’s approval moves Jio Platforms significantly closer to what could be India’s biggest-ever IPO. The proposed issue is around ₹37,700 crore and involves 270 million fresh equity shares, with a major portion of the proceeds planned for debt reduction at Reliance Jio Infocomm. Investors will now be watching for the final issue dates, price band, valuation and offer-document details.
